1. Agreement to Terms

Welcome to DesignLab. These Terms of Service ("Terms") govern your use of our website and interior design services. By accessing our website or engaging our services, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please do not use our services.

We reserve the right to modify these Terms at any time. Your continued use of our services after changes are posted constitutes acceptance of the modified Terms.

2. Services Overview

DesignLab provides professional interior design and build services, including but not limited to:

• Interior design consultation and space planning
• Renovation and construction
• Defect inspection
• 2D and 3D visualization
• Post-renovation service

Specific services will be outlined in individual project agreements or contracts.

3. Client Responsibilities

3.1 Information Accuracy

Clients must provide accurate, complete, and timely information regarding:

• Property details and measurements
• Design preferences and requirements
• Budget constraints and timeline expectations
• Legal permissions and property ownership documentation
• Any existing structural or technical issues

3.2 Site Access

Clients must ensure:

• Safe and unobstructed access to the project site
• Necessary permissions from property owners, landlords, or management
• Compliance with building regulations and local authorities
• Availability for scheduled site visits and consultations

3.3 Decision-Making

Clients are responsible for:

• Timely review and approval of design proposals
• Making decisions within agreed-upon timelines
• Communicating changes or concerns promptly
• Final approval of materials, finishes, and fixtures

4. Design Process and Approvals

4.1 Design Phases

Our design process typically includes the following phases:

1. Initial Consultation: Understanding your vision, needs, and budget
2. Concept Development: Creating initial design concepts and mood boards
3. Design Development: Detailed drawings, specifications, and material selection
4. 3D Visualization: Realistic renderings of the proposed design
5. Implementation: Construction, installation, and project supervision
6. Final Handover: Project completion and client walkthrough

4.2 Design Revisions

Each design phase includes a specified number of revision rounds as outlined in your project agreement. Additional revisions beyond the agreed scope may incur additional fees.

4.3 Client Approval

Written approval from the client is required before proceeding to the next design phase or commencing construction. Approval can be provided via email, signed documents, or our project management platform.

5. Fees and Payment Terms

5.1 Project Fees

Fees are determined based on:

• Project scope and complexity
• Square footage and number of spaces
• Level of customization required
• Materials and finishes selected
• Timeline and urgency of delivery

5.2 Payment Schedule

Unless otherwise specified in your project agreement, payments are typically structured as follows:

• Deposit: 30% upon signing the agreement
• Design Phase: 30% upon design approval and before construction begins
• Mid-Project: 30% at the midpoint of construction/installation
• Final Payment: 10% upon project completion and handover

5.3 Payment Methods

We accept the following payment methods:

• Bank transfer (preferred)
• Online banking
• Credit/debit cards (processing fees may apply)
• Cheque (subject to clearance)

All fees are quoted in Malaysian Ringgit (MYR) and include applicable taxes unless otherwise stated.

5.4 Late Payments

Payments not received within 14 days of the due date may result in:

• Project suspension until payment is received
• Late payment fees of 3% per month on outstanding amounts
• Cancellation of the project agreement

6. Project Timeline

6.1 Estimated Timeline

Project timelines are estimates based on normal working conditions. Actual completion may be affected by:

• Client approval delays
• Material availability and lead times
• Weather conditions and unforeseen site issues
• Changes to project scope
• Third-party dependencies (suppliers, contractors, authorities)

6.2 Delays

We will make reasonable efforts to notify you of any anticipated delays. Delays caused by circumstances beyond our control will not constitute breach of contract.

7. Changes and Modifications

7.1 Scope Changes

Changes to the agreed project scope must be requested in writing. We will provide:

• Revised cost estimate
• Updated timeline
• Impact assessment on existing work

Work will not proceed on changes until written approval and payment (if applicable) are received.

7.2 Additional Costs

Changes requested after design approval or during construction may incur additional costs for:

• Design revisions and re-work
• Material restocking fees
• Labor and contractor coordination
• Project management overhead

8. Warranties and Guarantees

8.1 Workmanship Warranty

We provide a 12-month warranty on workmanship for completed projects, covering:

• Defects in installation and construction
• Issues arising from our design or execution errors
• Structural integrity of built elements (within design scope)

8.2 Warranty Exclusions

The warranty does not cover:

• Normal wear and tear
• Damage caused by misuse, neglect, or accidents
• Modifications made by third parties
• Manufacturer defects in products or materials (covered by manufacturer warranties)
• Issues resulting from failure to follow maintenance instructions

8.3 Third-Party Products

Products supplied by manufacturers (furniture, fixtures, appliances) are covered by their respective manufacturer warranties. We will assist in facilitating warranty claims where applicable.

9. Intellectual Property

9.1 Ownership of Designs

All design concepts, drawings, specifications, and intellectual property created by DesignLab remain our property unless specifically transferred in writing as part of your project agreement.

9.2 Usage Rights

Upon full payment, clients receive a non-exclusive license to use the designs for the specified project. This license includes:

• Right to implement the design for the agreed property
• Right to share designs with contractors for implementation purposes
• Right to photograph and share completed spaces (with credit to DesignLab)

9.3 Restrictions

Clients may not:

• Reproduce designs for other properties without written permission
• Sell, license, or transfer designs to third parties
• Remove or alter our branding from design documents
• Claim authorship of the designs

9.4 Portfolio Usage

We reserve the right to photograph completed projects and use images for:

• Portfolio and marketing materials
• Website and social media content
• Award submissions and publications

If you prefer your project not be publicized, please notify us in writing.

10. Cancellation and Termination

10.1 Client Cancellation

Clients may cancel the project at any time with written notice. Cancellation terms:

• Before design work begins: 50% refund of deposit
• During design phase: Payment for work completed, no refund of remaining deposit
• After construction begins: Payment for all work completed, materials ordered, and contractor commitments

10.2 Our Right to Terminate

We reserve the right to terminate the agreement if:

• Payment is not received within 30 days of due date
• Client fails to provide necessary approvals or information
• Site access is denied or restricted
• Client conduct is threatening, abusive, or inappropriate

10.3 Post-Termination

Upon termination:

• All outstanding payments become immediately due
• Clients retain rights to work completed and paid for
• We retain ownership of incomplete designs and intellectual property
• Materials ordered but not installed remain our property unless paid for

11. Limitation of Liability

To the fullest extent permitted by law, DesignLab's liability is limited to:

• The total fees paid by the client for the specific project
• Direct damages only (excluding indirect, consequential, or punitive damages)
• Issues arising from our negligence or breach of contract

We are not liable for:

• Delays or issues caused by third parties (suppliers, contractors, authorities)
• Pre-existing property conditions not disclosed during consultation
• Client decisions that deviate from our recommendations
• Force majeure events (natural disasters, pandemics, government actions)
• Consequential damages such as loss of use, business interruption, or emotional distress

12. Indemnification

Clients agree to indemnify and hold DesignLab harmless from any claims, damages, or expenses arising from:

• Inaccurate information or misrepresentation provided by the client
• Failure to obtain necessary permissions or comply with regulations
• Third-party claims related to property ownership or access
• Modifications made to the design without our involvement

13. Referral Program

13.1 Program Terms

Our Refer & Earn program rewards successful matching introductions:

• Referrer Reward: from RM 1,500 up to 2% of the finalized project quotation value of the referred project

13.2 Eligibility

To qualify for referral rewards:

• Referred client must be a new client (not previously contacted us)
• Referral must be submitted through our official referral form
• Project contract value must be minimum RM 10,000
• Final payment for the referred project must be completed

13.3 Payment

Referral rewards are paid via bank transfer within 30 days of meeting the eligibility criteria.

14. Confidentiality

Both parties agree to maintain confidentiality of:

• Project details and design concepts
• Financial information and pricing
• Personal information and property details
• Business strategies and proprietary information

This obligation continues for 3 years after project completion.

15. Dispute Resolution

15.1 Informal Resolution

We encourage clients to contact us directly to resolve any concerns. Most issues can be resolved through open communication.

15.2 Mediation

If informal resolution fails, parties agree to attempt mediation before pursuing legal action. Mediation costs will be shared equally.

15.3 Governing Law

These Terms are governed by the laws of Malaysia. Any legal proceedings must be brought in the courts of Kuala Lumpur, Malaysia.

16. General Provisions

16.1 Entire Agreement

These Terms, together with your project agreement, constitute the entire agreement between you and DesignLab.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in effect.

16.3 Waiver

Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

16.4 Assignment

You may not assign or transfer your rights under these Terms without our written consent. We may assign our rights to affiliated entities or successors.
